Contract Review Overview 

The Office of Legal Services reviews contracts from a legal perspective and offers advice on the legal consequences of the School Board entering into the contract.  However, the Office of Legal Services is not in a position to assess the operational viability of contracts. Therefore, each department is required to review the contracts it wishes the School Board to sign.

A Contract is any agreement between the School Board and an outside entity that creates mutual obligations enforceable by law. These include, but are not limited to, documents such as agreements, contracts, memoranda of understanding, and service agreements. Generally, documents with “Terms and Conditions” are Contracts for purposes of this definition.

    1. Complete and sign the Request for Contract Review Form
    2. Develop a contract that contains sufficient detailed information to ensure your department receives the service or deliverables it is anticipating.  The contract should contain a detailed scope of work, itemizing the duties and responsibilities of each party.  The use of the Agreement Template will expedite the review and approval process. 
    3. Submit items 1 and 2 to the Office of Legal Services with as much lead time as possible.  Please keep in mind the deadlines associated with getting your contract on the Board’s agenda for approval.  An email confirmation of receipt will be sent to the contact provided on the Review Form.
      • Submit the completed and signed review form and a copy of the contract in WORD format to contracts@ocps.net.
        Note: If this is an emergency or you are requesting a RUSH review, please contact our office via telephone with the extenuating circumstances.  Efforts will be made to accommodate rush requests on a case-by-case basis.
    4. If the contract is an OCPS template with no substantive changes, it usually will be processed and returned to you within one to two weeks.  Using a contract drafted by the contractor or permitting substantive changes may require additional processing time.
    5. Once our review is complete, the contract will be returned to you for further handling as follows: 
      • Negotiating any required revisions with the contractor;
      • Finalize the revisions to the contract;
      • Obtaining the contractor’s signature and initials of any required changes on the original contract;
      • If the contract requires Board approval you will need to:
        1. Follow the steps in Getting Agreement Board Approved; and
        2.  Request for Signatures on Approved Agreements from School Board Services.

    Important: Once the contract has been fully executed and approved by the School Board, please return one fully executed copy of the Office of Legal Services.
